Well download directx and try it again?
Maybe its your graphics card, and try new drivers

Well i got a 8800 and not even a week later it it died, took it back they gave me a new 1 and about 3-4 weeks after that it broke again.
I now have a 6800xt 512mb

I dont think its the GFX card, because a game I have which requires the same GFX requirements as GTA works properly =[
